Fixiam Terms of Use

These Terms apply to the provision and your use of the Fixiam Solution owned and operated by Seamfix Limited (“we”, “us”, “our”)Please read these Terms of Use carefully before using the Solution.

  1. Description of Services: Fixiam provides identity access management services, including biometric authentication, identity verification, and secure access to applications and systems. The Solution is designed to manage and secure access to enterprise resources while maintaining user privacy.
  2. Acceptance of Terms and License: These Terms of Use apply when you log into and access the Solution. You agree that you, have read, understand, and agree to be bound by these terms. If you do not agree to be bound by these Terms of Use, please do not use this Solution. Upon your acceptance of these Terms of Use, as evidenced by your clicking on the option indicated for the same, we grant you a non-exclusive, non-transferable, limited right to use the Solution for its intended purposes, subject to these Terms of Use. If you are an Administrator, you are hereby authorised to register and invite your organisation’s personnel to whom you provide access to the Solution (“Permitted Users”) to register with the Solution, subject to these terms.
  3. Intellectual property: The Solution (and any derivative works or enhancements of the same) including, but not limited to, all text, illustrations, files, images, software, scripts, graphics, photos, sounds, music, videos, information, content, materials, products, services, URLs, technology, documentation, and interactive features (collectively, the Solution Content) and all intellectual property rights to the same are owned by Seamfix Limited, our licensors, or both. Additionally, all trademarks, service marks, trade names, and trade dress that may appear on our site are owned by us, our licensors, or both. Except for the limited use rights granted to you in these Terms of Use, you shall not acquire any right, title, or interest in the Solution. Any rights not expressly granted in these Terms of Use are expressly reserved.
  4. Acceptable use and User obligations: When using the Solution, you and your Permitted Users must:
    • provide accurate information during registration
    • comply with all applicable laws
    • protect your login credentials and biometric data from unauthorized use at all times, keep access to the Solution secure. If you do not, you may be liable for any consequential loss suffered by Seamfix as a result of a security breach. We will have the final right to determine what is a security breach.
    • not misuse the Solution for any unlawful, misleading, dishonest, malicious, or commercial purpose not circumvent, disable, or otherwise interfere with security-related features of the Solution including, without limitation, any features that prevent or restrict the use or copying of any content or enforce limitations on the use of the Solution
    • not allow any third party contracted by you to use any information supplied by the Solution in any capacity other than for the work specifically undertaken for your organisation otherwise comply with any reasonable direction given by us in relation to your use of the Solution from time to time
    • not use network-monitoring software to determine the architecture of or extract usage data from the Solutionnot reproduce, distribute, create derivative works based upon, publicly display, publicly perform, publish, transmit, or otherwise exploit the Solution for any purpose whatsoever without obtaining prior written consent from us
    • not engage in any conduct that restricts or inhibits any other user from using or enjoying the Solution notify us immediately, if you become aware that improper access has been obtained to the Solution through your access, or if your security has been compromised in any way. You agree to cooperate fully with us to investigate any suspected or actual activity that is in breach of these Terms of Use.
  5. Data Collection and Privacy: We may collect personal information about you, your organisation, or Permitted Users, directly from you. You undertake that where you are collecting personal information from and about someone other than yourself, prior to using the Solution, the person is aware that the information is being passed on to us and consents to the same. The only personal information we will collect will be your name, the names of your Permitted Users, and your email address and the email addresses of your Permitted Users. We will not otherwise use or distribute any personal information.You are responsible for the accuracy and completeness of all information submitted by you, and for ensuring that information is kept current and up to date when using the Solution. By using the biometric authentication features of the Solution, you consent to the collection and processing of your biometric data, including fingerprints and facial images. The data will be used solely for identity verification and access control.The information provided to us is for the following purposes:
    • To register as a user yourself and/or as an Administrator for your organisation.
    • To register employees of your organisation as Permitted Users within the System.
    • For identity verification and access control. We comply with Data Protection laws and will treat all personal information that we hold about you and your Permitted Users in accordance with the General Data Protection Regulation (GDPR), Nigerian Data Protection Act (NDPA), and global best practices. You and your Permitted Users have the right to access/receive/delete/erase/correct/suppress the personal information that we hold about them by contacting [email protected]We employ industry-standard security measures and will take reasonable steps to protect your personal information and that of your Permitted Users from misuse, interference, loss, unauthorised access, modification, or disclosure. However, no system is completely secure; you acknowledge that any data provided, including biometric data, is subject to inherent risks. Please refer to our Privacy Policy for more information on how we handle your data. The policy highlights key data protection practices, including Data Collection and Use, Legal Compliance, User Rights, Data Sharing, Security Measures, International Data Transfers, and Retention.
  6. Account Suspension and Termination: We reserve the right to suspend or terminate your access to the Solution at any time, at our discretion, including for violations of these Terms of Use or any applicable laws. You agree that we shall not be liable to you or any third party for any termination or suspension of access to the Solution.You may terminate your use of the Solution by providing thirty (30) days written notice to [email protected]. Upon the expiration of the notice, this agreement will be at an endAny suspension or termination shall not affect your obligations to us under these Terms of Use. The provisions of these Terms of Use which by their nature should survive the suspension or termination of your access or these Terms of Use shall survive including, but not limited to indemnities, disclaimers, limitations on liability, and provisions related to choice of law.Upon termination of your use of the Solution, all Permitted Users access will be removed.
  7. Indemnification: You agree to indemnify and hold harmless Seamfix Limited and its employees, agents, distribution partners, affiliates, subsidiaries, and licensors from and against any and all claims, liabilities, losses, damages, obligations, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of, related to, or that may arise in connection with (i) your access to or use of the Solution; (ii) User Content provided by you or through use of your access; (iii) any actual or alleged violation or breach by you of these Terms of Use; (iv) any actual or alleged breach of any representation, warranty, or covenant that you have made to us; or (v) your acts or omissions. You agree to cooperate fully with us in the defense of any claim that is the subject of your obligations hereunder.
  8. Disclaimers YOU EXPRESSLY AGREE THAT THE USE OF THE SOLUTION IS AT YOUR SOLE RISK. THE SOLUTION IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OR GUARANTEE OF ANY KIND, EITHER EXPRESS OR IMPLIED. SEAMFIX LIMITED DISCLAIMS ANY AND ALL WARRANTIES/GUARANTEES INCLUDING ANY: (1) THAT THE SOLUTION WILL MEET YOUR REQUIREMENTS; (2) OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE; (3) THAT YOUR USE OF THE SOLUTION WILL BE SECURE OR UNINTERRUPTED; AND (4) THAT ERRORS IN THE SOFTWARE WILL BE CORRECTED.
  9. Limitation of Liability: Under no circumstances shall Seamfix Limited and its employees, agents, distribution partners, affiliates, subsidiaries, and licensors be liable for indirect, incidental, special, consequential, or exemplary damages arising out of, relating to, or in any way connected with the use of the Solution. Your sole remedy for dissatisfaction with the solution is to stop using the Solution. Notwithstanding anything to the contrary contained herein, in no event shall the cumulative liability of Seamfix Limited, and its employees, agents, distribution partners, affiliates, subsidiaries, and licensors exceed the total payments received from you by Seamfix Limited during the preceding six (6) month period.
  10. Miscellaneous
  • I) We may update these Terms of Use in whole or in part, from time to time. Amendments will be effective immediately and your continued use of the Solution after such changes constitutes acceptance of the revised terms.
  • II) We reserve the right to assign these terms. You must not assign your rights or obligations under these terms, without our prior written consent.
  • IV) Any delay or failure on our part to exercise or enforce any rights under these Terms of Use to which we may be entitled shall not, in any event, be construed as a waiver of the right and/or privilege to do so at any subsequent time.
  • V) These Terms of Use (including the Privacy Policy and any Additional Terms incorporated by reference) constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements between us with respect to such subject matter.
